The legal status of the Company.

1 The Company is a legal entity of the Russian Federation.

2 The Company has a separate property recorded on its own balance sheet, may in its own name,

acquire and exercise property and personal non-property rights, incur obligations, sue and be

sued in court and carry out other activities that do not contradict the legislation of the Russian

Federation.

3 The Company has civil rights and duties necessary to carry out any activities not prohibited by

the legislation of the Russian Federation.

4 The Company has a round seal bearing its full name in Russian and an indication of its location.

The seal may also be specified name of the Company in any foreign language or the language of

the peoples of the Russian Federation.

Company may have stamps and letterheads with its name, logo, and duly registered trademark,

and other means of visual identification.

5 The Company shall be entitled to open bank accounts in the territory of the Russian Federation

and abroad.

6 Shareholders shall not be liable for the obligations of the Company and bear the risk of losses

related to the Company, only the value of their shares.

7 The State and its agencies shall not be liable for the obligations of the Company, and the

Company shall not be liable for the obligations of the state and its organs.

8 The Company may be a founder and participant in other business partnerships and companies,

all forms of non-profit organizations and enterprises with foreign investments in accordance with

the legislation of the Russian Federation.

9 The Company shall be entitled to participate in the establishment and operation of enterprises

in foreign countries, international non-profit organizations in accordance with the legislation of the

Russian Federation, as well as to foreign trade.

10 The Company may establish branches and representative offices in Russia, as well as establish

branches and representative offices outside the territory of the Russian Federation.

Branches and representative offices of the Company are not legal entities and operate on the basis

of the approved by the Company. Branch and representative office endowed with property of the

Company.

Heads of branches and representative offices of the Company appointed by the Company and act

on the basis of his power of attorney.

Property of a branch or representative office recorded on their separate balance sheet and (or) a

balance sheet of the Company in accordance with the legislation of the Russian Federation.

11 Information about the Company is provided by the Company in accordance with the

requirements of federal law and the laws of the Russian Federation.

12 The Company shall ensure the implementation of mobilization measures in accordance with the

legislation of the Russian Federation.

13 The company shall, in accordance with the legislation of the Russian Federation, shall decide

all questions of staffing its activities, determines the employment of nationals (including foreign

nationals), forms and methods of work organization, principles and procedures for the valuation of

labor and revision of standards, set the basic rates (salaries) and surcharges, determines the order

bonuses, working day and working week, the size and order of the weekend and holidays.

14 The Company also has other powers and duties as defined by federal law and the laws of the

Russian Federation.
